The governing body of a corporation, as elected by the stockholders. Among other things, the board of directors has the power to appoint the corporation’s officers and committees, issue shares of stock, set up nonqualified deferred compensation plans, and decide who is eligible for NQDC plans. The compensation committee of the board is often delegated certain authority over compensation-related decisions.
